1. NAME
The name of the unincorporated association is “Dei Gratia Providence Association” (Hereinafter ‘the Association.’)
2. FOUNDING MEMBERS
The private members aka founding members in person Brad McDonald, Paige Mirco, and Christine Denton hereby form "the Association."
3. TERMS
In these rules, unless the contrary intention appears:
- “Private Members Association” means an unincorporated association which is not a Charity.
- “Founding Member” means a private founding member of the Association.
- “Member” means those natural men and women who are committed to the purpose of the Association.
- “Assembly” means the Assembly of Management of the Association.
- “Financial year” means the year ending June 30.
- “Assembly Meeting” means a general meeting of the members convened.
- “Assembly” means any Founding Member or ordinary Member of the Association.
- “Person” means a trust, person, or a body corporate controlled by members of the Association.
4. PURPOSE
The Dei Gratia Providence Association’s mission is to connect creators within the local community. We achieve this by coordinating family-friendly private events, supported in a collaborative fashion by volunteers and grassroots artists.
Key focus areas include:
- Connecting Conscious Creators
- Connecting people with family & community-oriented values
- Strengthening community immunity through the goodwill actions of individuals and businesses. The more connected we are, the more we can empower each other and the greater local community.
5. POWER
The Association has the following powers to support the purpose:
- Control the funds and other assets and liabilities of the Association.
- Make announcements, produce, and distribute publications to its members and/or potential members.
- Make presentations to the community and other organizations, if considered by the Assembly.
- Co-operate with other non-profits, associated companies, or bodies having objectives similar to those of the Association.
- Encourage, arrange for, promote, establish, and support facilities for providing advice on related matters to members or sectors of the community.
- Receive and manage funds from contributions, gifts, or bequests to further the Association’s objectives.
- Invest any monies or assets in alignment with the Association’s purpose.
- Borrow and lend money in a way that supports the Association’s activities.
- Purchase or acquire property, assets, or liabilities of other non-profits or associations with similar objectives.
- Insure against risks, liabilities, and eventualities.
- Employ or compensate members or other persons deemed necessary.
- Provide allowances or compensation for members’ expenses as deemed reasonable by the Association.
6. POWERS AND DUTIES OF THE ASSEMBLY
The business of the Association shall be managed by the Founding Members of the Assembly, who may:
- Engage all such Members as necessary and regulate their duties and remuneration.
- Keep full and accurate minutes of all Assembly meetings and make them available to financial members for inspection.
- Delegate powers to the Chair as necessary and keep a record of all such delegations.
7. INCOME
The funds of the Association shall be derived from service contributions, fundraising, grants, and donations, and from other such activities as the Assembly may decide.
8. MEMBERSHIP
Any member or body corporate that meets the membership criteria and is admitted as an ordinary member of the Association will be recognized as a member. The number of ordinary members is unlimited.
9. SUBSCRIPTIONS
The Assembly may determine membership subscriptions from time to time, which include receipt of member services and information bulletins.
10. REGISTER OF MEMBERS
The Assembly shall maintain a register of members and any particulars deemed necessary by the Assembly or members at a general meeting.
11. CESSATION OF MEMBERSHIP
A member may resign by submitting written notice to the Secretary. Members who fail to pay membership fees or are expelled by the Assembly cease to be members.
12. ANNUAL ASSEMBLY MEETING
The Annual Assembly Meeting shall be held within three months of the close of the financial year. Notice shall be provided to members 28 days in advance. The meeting will include confirmation of minutes, reports from the Chairperson and Treasurer, and the election of office bearers.
13. MEMBERSHIP OF ASSEMBLY OF MANAGEMENT
The Assembly shall consist of 2 to 5 members, including a Chair, Deputy Chair, Treasurer, and Secretary. Members of the Assembly are elected by the Founding Members at the Annual Assembly Meeting.
14. DISPUTE RESOLUTION & BYLAWS
Disputes shall be resolved in accordance with the Association’s bylaws, and all members must agree to act peacefully and observe the principle of do no harm.
15. FUNDS, RECEIPTS, AND EXPENDITURE
The funds of the Association shall be deposited in an account as directed by the Assembly. Financial records must be maintained and made available for inspection by members. The Treasurer is responsible for keeping accurate accounts.
16. DOCUMENTS
The Assembly is responsible for the safe custody of the Association’s documents, instruments of title, and securities. All Association activities and assets will remain private and confidential.
17. WINDING UP & DISSOLUTION
In the event of winding up or dissolution, surplus assets shall be distributed to a similar non-profit organization, as decided by the Assembly.
